Roonle Terms of use and Policies

Welcome to Roonle and thank you for your interest in the Roonle URL-shortner, link statistic tracking tool and our advertising services! By using our services you agree to these terms ("Roonle Terms of use and policies") and agreements. The following terms of use and policies apply to all Roonle accounts and by creating a Roonle account and using any or all of the Roonle services you agree to these terms and policies.

Once a Roonle account has been registered and created the account has access to Roonle Adtek (advertising), Roonle Artilekt (Publishing) and Roonle Shortek (URL shortener) services and therefore Terms of use for Artilekt (publisher), Adtek (advertiser) and Shortek (URL shortener) are included in these Terms of use. Roonle Privacy Policy is also included in this document.

This document is accessible from www.roonle.com and can be provided by Roonle personnel via email if requested.

Changes in terms of use and policies and services

We are always updating and improving our terms, policies and services. We may add or remove functionalities or features of the Roonle platform and Services at any time, and we may suspend or stop a Service altogether. We may also change the Agreement at any time. All changes to the terms and services are updated in this document and can be found here. We usually announce updates via email when we have made updates to the terms of use and policies and services however we don't make any guarantees to announce updates via email and therefore we ask you to regularly read this document. At the top of this document you will find the date that this document was latest updated.

By signing up for a Roonle account you agree to us sending you emails about updates, information and informative news about Roonle and our partners. You can unsubscribe from a certain email list. Information on how to unsubscribe from a specific email list is provided in each mail.

1 - GENERAL TERMS OF USE
1A.
The Roonle Company, Stark Venture

Roonle is a copyrighted brand and platform operated and owned by Stark Venture (mentioned as "Roonle" or "we" or "us" or "our" in this agreement). Our headoffice is located at Solskensvägen 11, 146 46 Tullinge, Stockholm, Sweden. The Roonle platform (the "Roonle platform") is accessed at www.roonle.com.

Roonle is a URL shortener, link statistic tool and an online advertisement company providing a platform for both Publishers and Advertisers. Advertisers can show their created ads on the publisher properties. This includes, but is not limited to, Roonle Shortek ad pages and the publishers websites, mobile applications, and every platform where the publisher embeds Roonle ad codes.

A Roonle Publisher can generate a Roonle ad code that can be embedded on to their properties and show ads created by Roonle advertisers. Roonle Publisher gets revenue based on the cost per click of the shown ads. Publishers also earn revenue from links they shorten with advertisment embeded as a middle landing.

1B. Age and representation warrant

By signing up for a Roonle account you warrant that you are at least 18 years of age and have full authority and power to enter this agreement. Furthermore, if you are creating a Roonle account for a company you also confirm that you are the company owner and have the right to create an account or you have the approval from the company owner giving you the authority to create a Roonle account in the company's name.

1C. Roonle rights and recommendations

Roonle reserves the right to disable, terminate and suspend any account at any given time with or without cause but specially in the event that we suspect a breach of these Terms of use. It is the account owner's responsibility to keep the login details to your Roonle account safe so that no one can access your account without your consent. Please keep in mind that Roonle personnel will never ask for your Roonle account password and we do not recommend that you share your password with anyone. Neither do we recommend account sharing in any way. Your account is personal and you are responsible for everything that happens on your Roonle account.

1D. Roonle account and accessibility

You can access your Roonle account after you signup and confirm your email address via the confirmation link in the confirmation email we send you after registration. Once the account has been confirmed you are ready to access your Roonle account at www.Roonle.com. Your account details will only work on www.roonle.com. Any other platform or website or software provided and/or created by Roonle does not use the same login information details. In your Roonle account you will have the option to switch between an Artilekt (publisher) account, an Adtek (advertiser) account and a Shortek (URL shortener/link statistic tool) account. You can switch accounts at anytime you like and you can act as both a publisher and advertiser on Roonle. The information provided in any of these accounts is saved and can be accessed at any time, provided that your Roonle account has not been terminated or disabled.

1E. Termination

You can terminate this agreement at any given time by contacting us at support@roonle.com. We will then disable your Roonle account and you will have no connection to us and our agreement will be terminated. All Roonle ad codes that you have embedded on your properties, as a publisher, will be invalid upon termination and will stop presenting ads. All ads that you have created as an advertiser will be deleted and will stop showing. All links shortened with Roonle from your account will become broken links and will no longer lead to the shortened link.

Roonle may terminate your Roonle account at any given time if we suspect the Roonle Terms of use has been breached by your account. We may terminate your account at any given time with or without cause to maintain a secure environment on the Roonle platform. If your account is terminated for violation against the Roonle Terms of use any account balance you have on your publisher account (Artilekt and Shortek) will be terminated and deleted with the account and we will not make any payments to terminated accounts. Advertiser accounts are refunded the total account balance before the Roonle account is terminated.

1F. Indemnification

You shall defend, indemnify, and hold harmless Roonle, its affiliates and each of their respective employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Services, Content, or which otherwise arise from your User Content, violation of these Terms of Service, or infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity. Roonle reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will assist and cooperate with Roonle in asserting any available defenses.

2 - SHORTEK (URL SHORTENER) TERMS OF USE

2A. Provided Roonle Service

With Roonle Shortek you are able to shorten URLs and generate revenue when a visitor clicks on your links. When a visitor clicks the Roonle Shortek link they will be presented with an ad page for 5 seconds. If the visitor clicks the ad you earn revenue. When you shorten a link with Roonle we automatically create a new channel in your Artilekt account where you can track your links performance. You will be able to track clicks, impressions and earnings from within your Roonle Artilekt account. You can also track your links performance under your Shortek account. Explore upgrades will not be refunded upon termination.

You can manage all your generated Roonle Shortek links from within your Roonle Artilekt account.

We reserve ourselves from possible technical issues you might encounter on the Roonle platform or with our services and we give no compensation for issues that occur on the platform. We can make sudden updates and changes in the system, to enhance your experience, that can affect the platform and cause it to temporarily go offline. We will generally announce larger updates and changes 3-4 days before scheduled date to let you know in advance that the Roonle platform will be down for maintenance however we don't make any guarantees. These announcements are usually made via email.

2B. Payments and Withdrawals

When using Roonle Shortek you make revenue from the Roonle ads in your shortened links. The revenue is based on clicks on ads. You earn 50% of the total cost per click with Roonle Shortek.

Example: If an advertiser chooses to set the cost per click to be €1 you would receive €0.50 per click. This is only an example and is not showing how much advertisers put the cost per click to be. This is only to give you an understanding of how much you will be earning from your ads given that you shorten links with Roonle Shortek.

You get paid only from clicks. Impressions and actions are not accounted for in your revenue. The advertiser is only charged when visitors actually click on the advertisers ad. You can request a money withdrawal of the total or a part of your account balance when your account balance equals or exceeds €5 (euro). Minimum amount possible to withdraw is €5 (euro). Roonle will process your request and a payment is handled via PayPal.com and made only to a PayPal.com account. You can enter your account details under Money Management > Payment Settings in your Roonle account. PayPal.com details can't be provided to Roonle in any other way then via the Roonle platform from inside your Roonle user account.

For a withdrawal to be approved we require minimum €5 (euro) to be selfmade revenue. All bonuses and other incomes that you get from Roonle that are not based on clicks on ads is not counted as selfmade revenue and will not be possible to withdraw if you have not reached the minimum selfmade limit. You can however request a withdrawal for your bonuses once you have reached the minimum €5 (euro) selfmade revenue limit.

We may deny the total amount or some of the amount on your request of withdrawal in cases we believe invalid activity has occurred on your Roonle user account. Invalid activity can mean, but is not limited to: fraud, invalid clicks or invalid impressions. You may not click on ads that are presented in your links ad pages. You may not ask others to click on ads that are presented in your links ad pages. Invalid activity is determined by Roonle and includes, but is not limited to, fraud, invalid clicks, invalid impressions, bot clicks, automated program and/or invalid ad clicks by any person.

We have the right to deny your request of withdrawal incase we believe that you have breached the Roonle Terms of use.

To make sure that we can make proper payments you are responsible to maintain and update your payment settings inside your Roonle account. It is critical that you use the same personal information inside your Roonle account payment settings that you have on your PayPal.com account such as first name and last name so that we can match the accounts and confirm that it is you who will receive the payment. If the information is invalid we may deny the request of withdrawal and we will contact you via email to confirm that you are making a withdrawal. This is a safety procedure from our side to ensure that you receive the payment. Roonle has the right to deny some or all of the amount of your requested withdrawal incase an advertiser has been refunded. Only Roonle can and will approve payments and we can choose to deny any withdrawal requests. Solely Roonle may determine the revenue and we may change the percentage of the revenue at any given time.

You are responsible for any charges and/or fees assessed by PayPal.com.

3C. Taxes and VAT

You have no responsibility for any taxes associated with the transaction between Roonle and the advertisers. All VAT are paid by the advertiser and deducted upon deposit. All ad costs on Roonle are excluding VAT and this amount is excluded in the 50% click revenue that the publisher gets from Roonle Shortek links. The VAT is deducted from the advertisers Roonle account directly to avoid confusion. Each advertiser pays VAT in their respective country. You, as a publisher, are responsible to declare and pay taxes (if required in your country and/or region) on all payments that we make to you. If you have questions regarding how you declare your income in your country/region (if necessary in your country/region) contact the respective IRS department in your country and have them explain how to solve your declaration. You are not responsible to pay taxes based on Roonle's net income. It is your responsibility to know and/or find out what tax rules apply in your country and/or region.

2.1 - EXPLORE (LINK STATISTIC TOOL) TERMS OF USE [Extended Shortek service]

2.1A. Provided Roonle Service

Roonle Explore is a link statistic tool that help you gather extended statistics about each individual link that you shorten with Roonle Shortek. With Explore you can measure your traffic by learning how many clicks every link get, what country the traffic is coming from and what region the traffic is coming from. If you choose to shorten links with ad pages you will also be able to track how much money you make from each shortened link specifically. You can shorten any URL of your choice and you may share the short Roonle link where ever you see fit.

2.1B. Premium service, Payment and Coupon codes

Roonle Explore is an extended service of the Roonle Shortek service that is availiable to all Roonle accounts once the account purchases a month-to-month subscription. Explore is a premium feature and is only availiable to premium accounts (accounts that are paying the service subscription fee). The payment is made via Paypal.com, the safest way to make online payments, and upon first purchase you agree that Roonle, via Paypal.com, automatically renew your subscription and charge your account on a monthly or yearly basis. Any discounts made possible with coupon codes at first purchase are not accounted for at renewal. Your subscription will always renew at the original price based on monthly or yearly package prices. If you choose to pay month-to-month you will be charged at the one month price and if you choose to pay year-to-year you will be charged at the one year price. Coupon codes can only be used the first time you start a subscription. You can always choose to change your subscription plan from monthly to yearly or from yearly to monthly from your Roonle account. The yearly package has a fixed discount that will be applied at every renewal.

2.1C. Cancel Subscription and refunds

You can cancel your subscription at any time by going to Profile and clicking "Cancel Premium". Once your Explore subscription has been canceled we will not charge you upon the renewal date and the Roonle Explore services will no longer be availiable on your Roonle account from the date that the renewal were suppose to take place. If you cancel your Explore subscription within 14 days of your purchase we offer a full refund and immidiate cancelation of the Explore service features.

If for any reason we fail to renew your subscription due to low account balance or technical issues not caused by the Roonle platform your account will be downgraded after 14 days of the renewal date. All statistic gathered for your shortened links will be saved to your account but will not be accessable till you renew your Explore subscription.

2.1D. Content, links and marketing

All content on the Roonle platform including, but not limited to, gathered statistics, links and URLs are owned by Roonle and Roonle may use and share these links as we see fit. We may use your shortened links in marketing and educational purposes. All content uploaded to the Roonle platform is owned by Roonle and you ensure that you have the right to use all of the content uploaded in both commercial and non-commercial use.

3 - ARTILEKT (PUBLISHER) TERMS OF USE

3A. Provided Roonle Service

As an Artilekt user (publisher) you have the option to embed ad codes generated from the Roonle ads system to make revenue. You can edit the look of the ads to match the content of your property. We let you edit title color, text color, link color, background color and border color. You can't edit banner ads as they are provided by the advertisers and are designed by the creator of that ad.

As a Artilekt user you generate revenue based on clicks on ads by visitors on your properties. You can track your clicks, impressions, ads and earnings from within the Roonle platform at www.roonle.com by using your account details to login.

You can manage all Roonle ad codes you generate from within your Roonle account and you can edit and update existing Roonle ad codes. You can also create channels for different properties to help you better track your Roonle ad codes.

This is only to give you an understanding of how much you will be earning from your ads given that you embed Roonle ad codes on your properties.

The VAT is deducted from the advertisers account directly to avoid confusion. Each advertiser pays VAT in their respective country. You, as a publisher, are responsible to declare and pay taxes (if required in your country and/or region) on all payments that we make to you. If you have questions regarding how you declare your income in your country/region (if necessary in your country/region) we can help you contact the respective IRS department in your country and have them explain how to solve your declaration. You are not responsible to pay taxes based on Roonle's net income. It is your responsibility to know and/or find out what tax rules apply in your country and/or region.

3D. Ads content, Logos and Roonle property

You own everything in and on your properties excluding the Roonle ad codes, and this agreement does not give Roonle any rights to your content or properties. Neither you nor Roonle own any of the content in the ads that are shown on your properties via the Roonle ad codes that have been embedded. The advertiser who created the ad own all content inside the ad and you may not copy or use the ad or it's content in any way without the advertisers written consent. Logotypes and brands that are shown in the ads are owned by the advertiser and may not be used in any way.

We grant you a non-exclusive, non-sublicensable license to use the Roonle logos and brands in your marketing or on your properties. We do not allow you to use our logos or brands in a way that could affect Roonle in a negative way. If you are unsure of what can affect Roonle in a negative way please contact us before using our logos or brands on any of your properties or in any of your content. You may not remove any of Roonle's copyright notices. Any goodwill arising from your use of Roonle's logos and brands will belong to Roonle.

You agree that we may use your brand and/or company name in our marketing, on our platform and in educational purposes.

3E. Relevant ads on your properties

Roonle asks advertisers to insert keywords for their ads. These keywords determine where their ads will be shown. For this feature to properly work it requires Artilekts to optimize their properties for certain keywords related to their content.

Example: Sarah writes a blog that is about health and beauty. For Roonle to be able to show relevant ads about health and beauty Sarah must optimize her blog for keywords like health and beauty.

We can help you optimize your website or blog to show the most relevant ads to your visitors. With more relevant ads you get more clicks meaning more revenue. We don't make any guarantees of increased click rate however we will do our best to help you optimize your property to show the most relevant ads. If you are missing features to optimize your website or blog you can also add the keywords you want to optimize your website for into the embedded Roonle ad codes.

See the example below (keywords are inserted in red color in this example):

By manually inserting keywords to the generated Roonle ad code you force the ad code to show relevant ads. This is something we do recommend you doing. Add your keywords to the Roonle ad code even if you can optimize your website or blog to ensure relevant ads are shown on your properties. If you need help with this please do not hesitate to contact us. Roonle does not offer refunds or compensations for ads that are not shown properly and we may disable any Roonle ad codes that you embed in to your properties.

4 - ADTEK (ADVERTISER) TERMS OF USE

4A. Provided Roonle Advertiser service

Roonle offers advertisers to market their brand and business using online ads on Roonle Shortek ads pages and our publisher properties. As an advertiser you will be able to create and track campaigns and ads. We offer you to create two different ad types: Text ads and/or banner ads.

Text ads are automatically generated by Roonle based on the information you provide and you do not need to have any designing skills to create a text ad. We ask you to enter an ad title, two summary lines, displayed URL, and a target URL when creating a new text ad. The text ads automatically fit to the best-sized ad slots on publisher properties so that they are viewed and presented in the best possible way. We do recommend creating text ads incase you don't have any or very few designing skills.

Banner ads are design based and you as an advertiser can design your own banner ads based on the different ad sizes we have: 928x120, 928x240, 928x600, 928x900, 728x90, 468x60, 160x60, 120x600, 120x240, 336x280, 300x250, 250x250, 200x200, 180x150 and/or 125x125. All sizes are in pixels and are always presented as width x height. When designing a banner it's very important that the size is exactly right or the Roonle platform will not let you upload the file. Therefore it is important that you choose an ad size before you start working on the design of your ad. We offer to design your banner ads. A small fee can be charged if you want us to design your banner ads. We will always give you a price offer before charging your account. If we do not give any price offer you can assume we are designing your ads free of charge.

When you publish your ads you can track the performance of your ads from within your Roonle account. You can track Views on ads, clicks on ads and Money spent. You can also create several ads within the same campaign to help you better track your ads performance. We can help you optimize your ads for your specific target group. 4B. Targeting, Keywords and ad optimization

The Roonle platform lets you target a group based on country (you can choose to show for all countries if you leave the country option empty) and interests (keywords). We have found that the most important thing for generating leads is interest. Roonle lets you target people already interested in your products by keywords. The keywords that you optimize your ads for are matched with the most relevant users. For good results your keywords should be set to relate to your specific campaign and/or products. Roonle does not guarantee good results since you are the one in control of your ads and keywords. We can help you to optimize your ads for best results but we will set it according to your requirements and therefore can still not guarantee good results. We do not offer refunds or compensations for ads that are not properly optimized.

The URL (landing page) you choose to send the visitors to after a successful click is recommended to contain the same content as the ad that the visitor clicked on and is recommended to relate to the ad. If your ad is making a special offer we recommend creating a specific landing page for that specific offer so that visitors can continue reading about that offer. A very common mistake is to set the home page of your website as the landing page for an ad. This is not recommended. We are not responsible for the landing page and we do not guarantee leads or sales once a visitor clicks your ads. The responsibility to keep the visitors interested is entirely on you and your company/organization once a visitor clicks on your ads. You may choose whatever URL you want to set as your target URL. We do not offer refunds on clicks and impressions that did not result in a way you wish, including, but not limited to, actions, leads or sales. If Roonle does not deliver ads to the correct target group chosen by the advertiser you may not receive a refund and/or compensation.

4C. Credit management, budgets and refunds

To run your created Roonle ads we require you to purchase Roonle credit to your Roonle account. The credit will be in your account balance and you will be able to use your credit to run campaigns and ads on the Roonle platform. You can choose to purchase any amount of credit and we do not have any minimum required amount that you need to purchase to be able to run your ads. You can purchase Roonle credit by going to Credit Management > Add Credit. You will then be redirected to Paypal.com, the safest way to pay and transfer money online. All our payments and transactions are handled by Paypal.com to maintain a secure environment on the Roonle Platform and community. Once your purchase is complete you will be able to run your ads by clicking Start on the ads you want to run.

When creating a campaign you are asked to set a daily budget. The amount you set in this option will determine how many times your ads will be clickable for each day. The campaign will not run if the account credit balance is smaller then your daily budget. You always have to have an account credit balance equal or exceeding the daily budget on your campaigns. When creating an ad and setting the keywords, you are asked how much you want to pay per click. You can set this as low or as high as you like. Roonle can recommend you to set the CPC (cost per click) at a certain amount based on other ads using similar keywords. Roonle gives you the possibility to keep outbidding other advertisers to ensure your ads are shown more frequently however this is entirely up to you. Following Roonle CPC recommendations may and may not lead to that your ads will be shown more frequently. It is your choice if you want to follow Roonle's recommendations and you are not required to do so.

Roonle offers to refund the remaining amount of the purchased credit in your account balance within 14 days of a successful purchase. We only offer refunds on the amount that has not been used already. If some of your account credit balance has been used to run ads we will not refund your clicks, impressions and/or actions. We will offer refunds to your Roonle account if we suspect fraud and invalid activity on the publisher properties. This includes invalid clicks, invalid impressions, bots and/or suspicion of fraud. To request a refund please contact us by email at support@roonle.com. Credit that are still available after 14 days can never be withdrawn from your Roonle account.

4D. Taxes

All transactions and costs on Roonle are excluding VAT.

You can also choose not to purchase credit and only request an invoice. This is made by contacting us directly at support@roonle.com and asking for invoice budget. We will help your with further instructions upon contact.

4E. Copyrighted material and rights

You and/or your company/organization must own all content and materials that are used in your created ads. You may not use other companies content and/or material without their written consent. You must be able to provide such documents at our request. You do not have the right to advertise pornographic content and we disable all ads related to pornographic content.

5 - PRIVACY POLICY

5A. What information we collect

We collect your first and last name, your current email address, your birthday and what country you are from when you register a Roonle account. In side the Roonle platform we also ask for your Paypal.com account email address to make payments and transactions to and from you. We collect this information to be able to offer you the best possible service. We always strive to enhance our personal information collection to enhance your personal experience on the Roonle platform. However this is optional.

We use the information we collect to give you the best possible experience on the Roonle platform. We may use your information to deliver ads relevant to you however we do not guarantee that all ads will be relevant.

5C. Accessing and updating your personal information

Your personal information can be accessed and updated from within your Roonle user account under Profile. You can make changes and updates to your personal information at any given time. The only information we do not allow you to change or update is your email address that you used when you signed up for your Roonle user account.

5D. Information we share

We will never sell your personal information to any individual or company/organization. We may share your personal information with our third party companies to be able to provide you with the best personal experience possible. We will never share your information in a way that can hurt you or affect you negatively. We will always strive to use and share your personal information in a way that enables us to enhance your personal experience on the Roonle platform.

5E. Information Security

The Roonle platform is built to be secure and unless you specifically give your login details, such as email address and password to your Roonle account, to anyone, your personal information on Roonle can never be accessed by anyone else but authorized Roonle personnel. Should you suspect that your Roonle user account has been breached and accessed by an unauthorized person you must contact us as soon as possible to prevent any further damage.
